UniTrack CRM is licensed to you, not sold to you. These terms give you no ownership of, or right in, the Software itself — only the limited right to use it described below. You may not copy, rent, lease, sublicense, distribute, reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software, nor create derivative works from it, nor remove or alter any proprietary notice including the UniTrack CRM™ trademark attribution shown in the product.

The UniTrack CRM™ name, the UniTrack name and logo, and the product icons are marks of Avenlixx Technologies Pvt. Ltd.. Nothing in these terms licenses you to use them except to describe your use of the Service truthfully, and you may not present any other software as being UniTrack CRM.

Improvements, modifications and updates to the Software — whether released to you or not — remain the intellectual property of Avenlixx Technologies Pvt. Ltd. Feedback you send us may be used to improve the Software without any obligation to you.

Each paid or trial subscription licenses one workspace (one consultancy) and the number of staff seats and feature modules included in that workspace's package. The package you buy defines the ceiling; a higher package can be requested at any time.

We may suspend access to a workspace whose subscription is unpaid, whose use endangers the platform or other tenants, or which breaches these terms. Suspension is not termination, and data is retained while a suspension lasts.

Student, lead, application, document and financial records you enter into the Service belong to you. We host and process them on your instructions only, and we claim no ownership of them.

You are responsible for having the lawful right to collect and process that personal data, including obtaining any consent or parental consent required, and for its accuracy. You are the data controller for your workspace's records; Avenlixx Technologies Pvt. Ltd. acts as your processor — see the Privacy Policy for how we handle them.

You alone are responsible for the conduct of the staff and sub-agents who hold accounts in your workspace.

We maintain scheduled backups of the platform as part of operating the Service. They are for our recovery purposes; they are not a substitute for your own records, and you should export any data you need to keep independently.

When a subscription ends, you may export your workspace data for thirty days. After that window the workspace is deactivated and its records are deleted from the live system, with backups purged on their own rotation cycle.

Fees are those published on the pricing page at the time of order, quoted in Nepalese Rupees, and are exclusive of any tax required by law, which you pay in addition. Monthly plans renew each month and annual plans each year until cancelled.

Trials are offered without charge for the advertised period and convert only if you subscribe. Fees already paid are non-refundable except where the law requires a refund or where we materially fail to provide the Service and do not correct it within thirty days of your notice.

You may cancel at any time; access then continues to the end of the period you have already paid for.

We aim to keep the Service available at all times and to publish maintenance in advance. Scheduled maintenance, force majeure, failures of your own internet or device, and outages of third-party services we depend on are not a breach of these terms.

Support is provided by email to the address below during Nepal business hours. We may add, change or withdraw features, and may release updates that require you to adopt a newer version.

The Service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not warrant that results from using it will be accurate, that any university will admit a student, or that any visa application submitted through it will be approved.

Admission, examination and visa outcomes depend on institutions and government authorities. Nothing in the Service is legal, immigration or academic advice, and counselors remain responsible for the advice they give.

To the extent permitted by law, Avenlixx Technologies Pvt. Ltd. is not liable for indirect, incidental, special or consequential loss, loss of profit, loss of goodwill or loss of data caused by use of, or inability to use, the Service.

Where we are liable, our total liability for any claim is limited to the subscription fees you have paid for the workspace in the twelve months before the claim arose. These limits do not exclude liability that cannot be excluded under applicable law.

Either party may end the agreement. You may stop using the Service and cancel as described above; we may terminate for breach that you do not cure within thirty days of notice, for non-payment, or where continued use would expose the platform or other tenants to risk.

Sections on software ownership and intellectual property, your data responsibilities, disclaimers, limitation of liability and governing law survive termination.

We may update these terms as the product and the law change. The revision date at the top of this page shows when they last changed, and we will give at least fifteen days notice of a material change by email to the workspace contact or by a notice in the product. Continuing to use UniTrack CRM after that date means the revised terms apply.

These terms are governed by the laws of Nepal. The parties submit to the exclusive jurisdiction of the courts sitting in Kathmandu, Nepal, for any dispute arising out of or in connection with the Software or these terms.

Before filing a claim, you agree to contact us and attempt in good faith to resolve the matter for at least thirty days.
